Performance Metrics and Executive Compensation Oversight Duties and Responsibilites of the Board of Directors
Executive compensation is becoming increasingly important and newsworthy in today s business and political climate. While much of this attention has been focused on high level executives of public companies, it also raises important questions about pay versus performance for all business owners and board members.
To be effective, compensation systems must be connected to performance. The Board of Directors should measure the success of their management teams based primarily on enhancements to shareholder wealth. Directors can no longer make arbitrary decisions about management and executive compensation. Activist shareholders are demanding more from management teams, particularly in this difficult economic climate. Boards need to rise to the occasion and be more aggressive and creative in order to meet these demands. It is no longer acceptable to select arbitrary base bonus compensation arrangements that are conveniently located somewhere along a bell curve.
This 1-day "Professional Governance" workshop will specifically address challenging and important governance issues that all private companies face. Some of the topics to be addressed in this valuable program include:
-The difference between performance metrics & performance management.
-Compensation oversight & shareholder value- aligning management behavior with corporate strategy.
-Strategic planning & budgeting an essential element of all successful incentive based compensation systems.
-Essential inputs- raw data, information, visibility, accountability & motivation.
-Peer discussion... your company's compensation & oversight systems - success or failure?
-Value drivers- how to shape leadership behaviors with the correct value drivers.
-Tools of the trade- executive dashboards & aligned metrics.
-Performance benchmarking & comparative analytics.
-Transparency creating a Culture of Candor.
-Tying pay to performance performance indicators & other metrics.
-Short term & long term incentives maintaining a balanced system.
-Putting it all together an example of an integrated & aligned compensation & oversight system.
Impediments to successful and rapid deployment of the ideas presented in this program will also be addressed so that participants can return to their respective boards and begin quickly implementing improvements in their governance activities.
