Objectives
By the end of this course, participants will understand:
o Key concepts in acquisition finance
o How acquisitions are structured
o When different variants of structures might be appropriate
o The impact of the choice of financial instrument such as equity, debt or hybrid
o The detailed functioning of levered deals and the agendas of participants
o Risks and rewards to different parties
o The principles involved in modelling levered structures
o How to analyse leveraged acquisitions
o The process together with key structuring and due diligence issues
a Hands-on interactive training is punctuated by numerous practical examples throughout each day. The course is logical and progressive, enabling participants to build up a comprehensive understanding of buyouts.
a The course will draw heavily on newly-developed case material. During the course participants will progressively incorporate more complicated features into their own analysis of a real transaction, to the point where they will have a complete transaction model by the end of the course, slightly simplified and stylised to maximise learning benefits. Participants will input and make assumptions for:
o Levels of debt
o Equity requirements
o Debt covenants and repayment profiles
o The split of equity proceeds on exit
o The
IRRs available to equity holders
